- NORDIA BAUBLYS & Partners represented a Lithuanian oil exploration and production company regarding the recognition and enforcement in Lithuania of the arbitral award of the International Court of Arbitration of the International Chamber of Commerce (ICC). By its resolution, the court ordered payment of approximately 12.5 million USD and 6 percent of the annual interest.
- NORDIA BAUBLYS & Partners represented a Lithuanian company in administrative proceedings regarding the appeal filed against the decisions of the Šiauliai Territorial Customs on the recovery of the default interest. The Constitutional Court of the Republic of Lithuania, which had been addressed at the request of NORDIA BAUBLYS & Partners, recognized that certain norms of the Republic of Lithuania Customs Law and the Republic of Lithuania Law on Tax Administration were partly contradictory with the Constitution of the Republic of Lithuania.
- NORDIA BAUBLYS & Partners represented a group of members of the Vilnius City Municipal Council in administrative proceedings regarding the appeals filed against the decisions of the Municipal Council on the removal of the Vilnius City Mayor from his office.
- NORDIA BAUBLYS & Partners successfully represented a company registered in Cyprus at the Lithuanian Court of Appeals and the Supreme Court regarding the recognition and enforcement in Lithuania of the resolution passed by the Arbitrators of the London International Court of Arbitration (LCIA). Under the arbitral award, the Kaliningrad Region is now under the obligation to pay the amount of 23 million USD.
- The advocates of NORDIA BAUBLYS & Partners successfully represented a Client in an attempt to avoid property seizure with a value of more than 40 million LTL.
- The lawyers of NORDIA BAUBLYS & Partners coordinated the actions of partners acting under a joint activity contract in their attempt to win, and won a contract of construction and reconstruction works for a value of more than 113 million LTL.
- NORDIA BAUBLYS & Partners represented the interests of a legal entity at the Vilnius Regional Administrative Court in the proceedings instituted against the state enterprise Centre of Registers regarding the adjustment of real estate tax value. Following the effective date of the Order of the Minister of Finance, which approved the documents of the mass valuation of real estate, it was determined that the value of the real property owned by the said legal entity exceeded 21 million LTL. As a result of the successful representation by NORDIA BAUBLYS & Partners, the state enterprise Centre of Registers adjusted the tax value of the real property owned by the legal entity by reducing it almost twice, i.e. down to 12 million LTL.
- The advocates of NORDIA BAUBLYS & Partners were among the first in Lithuania who succeeded in proving, by way of judicial procedure, the liability of shareholders for their wilfully unfair action in the management of the company. The outcome of the proceedings resulted in the amount of 1.2 million LTL of damages to be paid by the shareholders.
- NORDIA BAUBLYS & Partners represented a company engaged in the sale of agricultural products, which was ordered by the State Tax Inspectorate to pay a penalty in the amount of 6.5 million LTL for failure to formalize its economic transactions in the accounting documents. In the course of tax related disputes at the Commission on Tax Disputes and the Supreme Administrative Court, NORDIA BAUBLYS & Partners succeeded in proving that the said penalty had been unlawfully imposed on the company.
- NORDIA BAUBLYS & Partners represented a foreign capital company, which was additionally ordered by the State Tax Inspectorate to pay 2.5 million LTL of taxes, penalties and default interest upon summarizing and taxing the income generated by the company and the income of its sole shareholder and director generated while acting as an entrepreneur registered in a reduced tax zone and conducting individual economic activity (approximately 4.5 million LTL). NORDIA BAUBLYS & Partners defended the interests of the client at the Commission on Tax Disputes, which finally recognised that the income of the company and the income generated by the head of the company while acting as an entrepreneur registered abroad, could not be treated as common income and thus the additional taxes calculated for the company were recognised as being groundless.
- NORDIA BAUBLYS & Partners successfully represented the interests of an investor from Switzerland in the process of the development and coordination of an acquisition transaction of shares transferred in the course of the said transaction amounting to more than 8 million LTL.
- NORDIA BAUBLYS & Partners prepared and coordinated a large-scale transaction on the acquisition of a fish processing company in West Lithuania. The amount of the transaction was more than 2.6 million LTL.
- NORDIA BAUBLYS & Partners represented a large Lithuanian gas company for the benefit of which the court adopted an order for the application of provisional measures of protection by appointing an administrator of the property owned by the largest energy facility in Kaunas.
- NORDIA BAUBLYS & Partners represented a Lithuanian capital gas distribution company at the Vilnius Regional Administrative Court, whose final order revoked the decision of the Lithuanian State Price and Energy Control Commission on the refusal to issue a Natural Gas Distribution License for the Applicant.
- NORDIA BAUBLYS & Partners represented the interests of a company from Kaunas involved in the sale of vehicle parts, regarding the invalidation of the decision on the winner of the public procurement procedure announced by the Public Procurement Commission of the Lithuanian Armed Forces. After this, NORDIA BAUBLYS & Partners achieved recognition of the procurement contract concluded between the Lithuanian Armed Forces and the unlawful winner of the procurement procedure (~1 million LTL) as null and void.
- NORDIA BAUBLYS & Partners prepared contracts, procedural documents and coordinated the actions necessary for the recovery by a company of more than 3.5 million LTL from a construction company, which was undergoing a bankruptcy procedure. The claims of the company were satisfied in full.
- NORDIA BAUBLYS & Partners defended the interests of a foreign natural person during the consideration of issues related with the recovery of investments made by the said person in a Lithuanian company. Since the company was planning to announce its insolvency, our Office prepared the necessary contracts for the transfer of the company’s management and creditors’ claims.
- NORDIA BAUBLYS & Partners represented one of the spouses in the proceedings of a disruption of marriage. Our Office represented the client during the negotiations regarding the division of property in the amount of more than 20 million LTL, and during the execution of the compulsory execution of the judicial order. All claims filed by the other spouse were rejected by the court.
- NORDIA BAUBLYS & Partners represented one of the spouses in separation proceedings. The object of dispute in the mentioned proceedings was the shares of a group of business companies and the possibility to participate in the management of those companies. In its order, the court adjudged property in the amount of more than 4 million LTL and the right of ownership to the shares of the company in favour of the spouse represented by our Office.

Nordia Baublys & Partner scholarship to VMU student
On Wednesday, January 16th, during the meeting of the Vytautas Magnus University (VMU) Rectorate, Ms. Justina Gabrielaitytė, the student of the Faculty of Law, was awarded the memorial scholarship of Nordia Baublys & Partners, the Professional Partnership of Advocates.During the meeting Mr. Marius Endzinas, the representative of Nordia Baublys & Partners said that the partners of the partnership were the graduates of VMU, thus they were proud to be able to cooperate with their alma mater. “We feel part of this family – not only because of this incentive, awarded to the most exceptional students of the Law of Faculty, but also because we share a common approach to life. I believe that namely this university forms a person, who has his/her own distinctive approach to what is going on around him/her”, stated M. Endzinas.This is already the third such scholarship, awarded to the future lawyers by Nordia Baublys & Partners. The most gifted VMU students are also provided with the opportunity to perform internship by working together with one of the strongest lawyers in Lithuania. The scholarship awarded since 2010 encourages students to study well, to be active in social life, and to contribute to the activities of VMU Faculty of Law.

Attorney at law Marius Liatukas successfully represent a Client in a case regarding a dispute arising out of contract. The court dismissed the claims of the applicant directed against the Client and rejected the application.
Advocate Marius Endzinas at Lithuanian Court of Appeals successfully represented a company who won a public tender. The Court completely dismissed all claims by the competitor who lost the tender. The Court upheld the decision (in favor to the Client of NORDIA BAUBLYS & Partners) ruled by the Klaipėda Regional Court and based its judgment on the same reasoning as in position of NORDIA BAUBLYS & Partner’s Client.

Advocates Dalia Stakvilevičiūtė and Marius Endzinas successfully represented Client-Person at Lithuanian Court of Appeals. The Court dismissed prosecutor‘s appeal on the Šiauliai Regional Court‘s decision in favor of the Client. Prosecutor‘s claim was based on the defence of public interest and involved a prosecutor‘s request to declare a building sale contract (signed between the Client and Šiauliai city municipality) void. The posecutor also requested and order to make restitution. After the prosecutor‘s claim (including appeal) was dismissed, the buiding (which is a cultural heritage site) in question stays a property of the Šiauliai city municipality. It means that the project to establish Šiauliai art incubator (project worth 8 millions Litas is financed from EU funds) in the same buidling will be able to continue.

Associate lawyer Darius Bačinskas successfully represented the Client (the interests of the natural person) at Klaipėda Regional Court in the case instituted on the basis of the Client’s claim filed against the company under bankruptcy and other respondents regarding the invalidation of the ownership rights to the flat and invalidation of the transactions. By upholding the arguments and the evidence collected by NORDIA BAUBLYS & Partners the court recognized the Client’s ownership rights to the unfinished flat, invalidated in part the sale-purchase agreement concluded by the company under bankruptcy regarding the sale of the flat owned by the Client, reclaimed the flat from the unlawful owner and returned it to the legitimate owner, i.e. the Client of NORDIA BAUBLYS & Partners.

On 8 November 2012 BAUBLYS & Partners Attorney at law Rūta Didikė attended the roundtable discussion “Election 2012”, organised by the Lithuanian Lawyers’ Association Vilnius Division. The participants of the discussion shared their experience of attending the activities of the Central Electoral Commission, where a part of members was delegated by the Lithuanian Lawyers’ Association, as well as analysed election violations and their importance, discussed possible variants and consequences of the judgment of the Constitutional Court of the Republic of Lithuania regarding approval of the election results.

The Clients of NORDIA BAUBLYS & Partners were accused of smuggling demilitarized armour-plated transporter and two trucks into Lithuania after these were bought in public auction in the United Kingdom. Both accused were discharged by he Court completely on the grounds that there were no deliberate actions to do an offence found and also on the grounds that legal requirements regulating the movement of particular goods in EU became more lenient. After the prosecutor‘s claim was dismissed, the building (which is a cultural heritage site) in question stays a property of the Šiauliai city municipality. It means that the project to establish Šiauliai art incubator (project worth 8 millions Litas is financed from EU funds) in the same building will be able to continue.

The Court also stated that the most important decisions of the company were done by the board. The case involved the dispute between the general manager (Client) and the company shareholders. The company shareholders requested the client to compensate the damages that he has done to the company. The Court of Appeal of Lithuania agreed with Nordia Baublys & Partners arguments which were noted in the claim and other litigation process documents and set aside the first instance decision which stated that more than 1,5 million litas has to be covered from the client and other related persons. The Court also decided to return the case back to the first instance for a new case examination.
On 26 April 2012 Partner Kęstutis Švirinas and Lawyer Jonas Sakalauskas successfully represented the interests of AB “Lietuvos geležinkeliai” in the oral court hearing at the Court of Justice of the European Union (Luxemburg), in the case on prejudicial judgment passing in relation to application of value-added tax concessions for railway transport.

The Klaipėda Regional Court, after return of the case from the Supreme Court of Lithuania, supporting the motives of the defendant (Client), agreed with the defendant’s principles of damage calculation and the submitted evidence, and amended the judgment of the lower instance court and adjudged from the Client to the claimant only 0.8% of the damage requested by the claimant and adjudged by the first instance. Kęstutis Švirinas also successfully represented one of the largest engineering network companies in Lithuania in criminal proceedings. The company was indicted for crimes against the tax system. The criminal proceedings, during which the case was heard twice at the Lithuanian Court of Appeal and the Supreme Court of Lithuania, lasted for eight years. According to the application of Kęstutis Švirinas, the Lithuanian Court of Appeal referred to the Constitutional Court of Lithuania regarding the constitutionality of norms regulating the application of criminal liability to legal entities. In the spring of 2011, the Lithuanian Court of Appeal fully acquitted the company and on 14 February 2012, the Supreme Court of Lithuania discontinued the cassation proceedings, thus leaving in effect the exculpatory judgment.

Lawyer Albertas Šekštelo and his assistant, Eglė Bučinskaitė, successfully represented the interests of one of the largest printing houses in Lithuania in a case regarding debt adjudication from the printing house’s client, including the adjudication of losses sustained subsidiary to this by the company’s shareholders. This was based on the liability of the latter for their unfair actions in transferring the company’s activity to a newly incorporated company, thus avoiding return of the debt to the printing house (the so-called “phoenix syndrome”). An amicable agreement was reached in the case between the parties, after the defendants acknowledged, in essence, all the requirements made in the printing house case.
Attorney at law Albertas Šekštelo represented an employee of one of the leading transport and logistics company in Lithuania in the dispute regarding the violation of alleged environmental requirements in relation to battery and accumulator accounting and handling (the employee was fined a 7,500 LTL penalty). Vilnius District Court satisfied in full the Client’s complaint and voided the decision by Vilnius Region Environmental Protection Department under the Ministry of Environment, and closed the case due the absence of substantial fact.

The lawyer, Marius Liatukas, won the case, representing the interests of NORDIA BAUBLYS & Partners’ client. The merit of the case – a Japanese company, referring to the patent, applied at the Vilnius Regional Court, asking to forbid NORDIA BAUBLYS & Partners’ client to import and sell wire reels used in the construction industry. The Vilnius Regional Court ignored the application of the Japanese company against the firm’s client, acknowledging that the firm’s client had carried out an economic activity in a lawful way, and without violation of the patent. The Court also ignored the request of the Japanese company on an adjudication of damage.

The Professional Partnership of Advocates NORDIA BAUBLYS & Partners signed a Cooperation Agreement with the Vytautas Magnus University. Under the said Agreement the Professional Partnership of Advocates undertook to provide a possibility for the students of the Vytautas Magnus University Faculty of Law to take their practical training at the Partnership and to familiarize themselves with the activities and specificity of work of the Partnership. The Partnership also undertook to provide funding for nominal scholarships, scientific events arranged by the Faculty of Law of the Vytautas Magnus University, for the acquisition of legal reference books and for the promotion, delivery and development of the studies.

Evaldas Dūdonis, Attorney-at-law of NORDIA BAUBLYS & Partners, successfully represented the interests of his Client (a natural person) during the negotiations with the representatives of the Lithuanian subdivision of an International corporation regarding the termination of the employment contract by mutual agreement of the parties. The successful outcome of the negotiations resulted in the termination of the employment contract by mutual agreement of the parties and payment of the severance pay in the amount of 12 average monthly salaries in favor of the Client (the amount of compensation exceeding 150 000 Litas).

Marius Endzinas, Attorney-at-law of NORDIA BAUBLYS & Partners, commenced and successfully completed the representation of his Client, who is a natural person, in the civil proceedings regarding the adjudication of the loan. The Supreme Court of Lithuania finally completed the proceedings, where the case had been previously tried twice by the court of the first instance and twice by the court of the appellate procedure. The Supreme Court upheld the consistent orders passed by all previous courts in favor of the Client of NORDIA BAUBLYS & Partners, and ordered the opponent to pay more than 76 thousand Litas of the loan, interest and additional costs.

Evaldas Dūdonis, Attorney-at-law of NORDIA BAUBLYS & Partners, represented the Client’s interests in the proceedings examined in accordance with the Vilnius Commercial Arbitration Rules of Arbitral Procedure regarding the amendment and partial invalidation of the provisions of a Syndicated Crediting Agreement under which the Contracting Partners of the Client had been granted a loan in the amount of over 10 million Euros. The outcome of the successful representation by NORDIA BAUBLYS & Partners was a mutual agreement between the parties to the dispute and an amicable completion of the proceedings.

After the successful representation by the Attorneys-at-law Kęstutis Švirinas and Jonas Sakalauskas and the lawyer Arnas Bareika from NORDIA BAUBLYS & Partners of one of the largest Lithuanian transport companies regarding the revocation of tax arrears and the related fines (with the amount of the dispute comprising approximately 28 million LTL), the Tax Disputes Commission satisfied a request of the Attorneys-at-law to apply to the European Court of Justice and claim delivery of the preliminary decision by clarifying certain provisions of the European Union legislation. The abovementioned Attorneys-at-law are currently involved in the arrangement of the client’s interests at the European Court of Justice.

Attorney-at-law Marius Liatukas represented the Client during the appeal against the Decision of the Kaunas Territorial Customs regarding the payment of the additional amount of the import VAT on the grounds of the improperly indicated customs value of the imported goods. The Customs Department under the Ministry of Finance of the Republic of Lithuania satisfied the Client’s appeal and revoked the additional amount of the import VAT that had been calculated groundlessly.

A group of lawyers headed by Ligita Ramanauskaitė, Managing Partner of NORDIA BAUBLYS & Partners, has successfully completed the legal disputes between the shareholders of the company engaged in the sector of energy, which lasted for almost a year. The disputes were related with the assessment of the company’s activities and the grounds for the acquisition of the company’s shares. The complicated legal situated was solved by concluding a multiple settlement agreement and the parties to the dispute retained amicable relations.

Attorney-at-law Marius Endzinas successfully represented a large provider of public catering services – in the civil case regarding the results of the public procurement procedure examined by the Lithuanian Court of Appeals. The Court of Appeals revoked the Order passed by the Vilnius Regional Court, which was unfavorable to the Client of NORDIA BAUBLYS & Partners, and stated that the public procurement procedures were performed without any violations of the laws and the Client, who had offered the lowest price, was reasonably announced the winner of the public procurement procedure. Besides, the Lithuanian Court of Appeals ordered payment by the opponent in favor of the state of more than 40 thousand Litas of the stamp duty and other legal charges.

Marius Endzinas and Marius Liatukas, Attorneys-at law of NORDIA BAUBLYS & Partners, successfully represented the Client in the civil case regarding the results of the public procurement procedure examined by the Lithuanian Court of Appeals. The lawyers of NORDIA BAUBLYS & Partners succeeded in proving that the Client had been awarded the public procurement contract for the provision of public catering services on lawful and reasonable grounds, and the claims of his competitor, who was ranked as being second in the public procurement procedure, had been groundless. The Lithuanian Court of Appeals upheld the Order passed by the Panevėžys Region Court, which was favorable to the Client of NORDIA BAUBLYS & Partners.

By its Order passed on 2 May 2011 the Supreme Administrative Court of Lithuania satisfied the Client’s claim and revoked the Ruling passed on 22 July 2010 by the Vilnius Regional Administrative Court, by which the said Court had revoked the Decision of the Tax Disputes Commission that had been favorable to the Client. By its Decision the Tax Disputes Commission had stated that the State Tax Inspectorate had groundlessly calculated more than 300 thousand LTL of VAT and more than 120 thousand LTL of the default interest to be paid by the Client and had groundlessly imposed a fine in the amount of more than 30 thousand LTL. By its Order passed on 2 May 2011 the Supreme Administrative Court of Lithuania stated the Vilnius Regional Administrative Court had made certain violations while hearing the case and ordered rehearing of the case.

Marius Endzinas, Attorney-at-law of NORDIA BAUBLYS & Partners, successfully represented the interests of the Client in the civil case regarding the results of the public procurement procedure examined by the Supreme Court of Lithuania. The Supreme Court of Lithuania confirmed the position maintained by the lawyers of NORDIA BAUBLYS & Partners stating that in certain cases, even after the recognition of certain violations of the public procurement procedure, it may be permitted to continue performance of the public procurement contract when this is necessary for the purposes of ensuring the public interest. In its Order the Supreme Court of Lithuania considered in detail the norms of the EU law and case study of the European Court of Justice in the area of public procurement.

Albertas Šekštelo, attorney at law at NORDIA BAUBLYS & Partners, and assistant attorney Darius Bačinskas successfully represented a client who was the respondent in the civil case to award alleged damages suffered as a result of the application of interim protection measures against the plaintiff in another, already closed, case. The court of first instance took into consideration arguments provided by the respondent and ordered the respondent to pay 193 LTL in damages instead of 51,828 LTL claimed by the plaintiff.

A panel of arbitrators rejected the action brought by the plaintiff regarding unlawful termination of Construction Subcontract (made on the basis of FIDIC-Redbook) and partially satisfied respondent’s counter action ordering the plaintiff to pay in favour of the client portion of damages and to surrender construction work logs to the client.

Albertas Šekštelo, attorney at law at NORDIA BAUBLYS & Partners, successfully represented a contractor, the respondent, which performed closure works on a landfill adjoining the plaintiff’s land plot. The plaintiff brought the action whereby she asked the court to award damages suffered in connection with the landfill and closure works on the landfill. The action was brought before the Šiauliai District Court which dismissed the plaintiff’s action and ordered the plaintiff to pay a portion of legal costs incurred by the respondent.

AF – TSP, UAB in conjunction with NORDIA BAUBLYS & Partners (Professional Partnership of Advocates) entered into a contract with the Central Project Management Agency and the Ministry of Energy of the Republic of Lithuania whereby they assumed to prepare a programme for energy efficiency improvement in apartment buildings of Visaginas City entitled “Visagino Enervizija” (Visaginas Enervision). This programme included evaluation of energy efficiency of buildings and modernization opportunities thereof; evaluation of modernization effects on the heat production and supply system; legal framework analysis and drafting of necessary legislation; preparation and presentation of the draft programme and arrangements for implementation thereof. It is expected that the implementation of the “Visagino Enervizija” Programme will allow for improvement of technical and energy qualities of apartment buildings and ensuring that heat energy consumption does not exceed necessary consumption depending on local climatic conditions and needs of the residents. The scope of the Programme is expected to include modernization of all apartment buildings in Visaginas City.

During case hearing the attorney sought for the collection of additional evidence which raised substantiated doubts to the court regarding validity of the decision by the police authority. After prolonged litigation in courts the Supreme Administrative Court of Lithuania annulled the decision of the police authority and closed the case.
